3. Platform Operating Model and the Role of Orbis Mentor

3.1. Orbis Mentor provides a digital mentoring platform and the technical, organisational and payment infrastructure enabling Mentees to find Mentors, select an Offering, book and pay for Sessions, participate in video Sessions, receive notifications and submit reviews.

3.1.1. Orbis Mentor acts as the operator of the digital Platform and as an intermediary facilitating the conclusion and performance of transactions between Mentees and Mentors, and is not the provider of the Mentoring Service. The contract for a specific Session or Package is concluded directly between the Mentee and the Mentor when the Booking is confirmed. The Mentor is the provider of the Mentoring Service. Orbis Mentor may receive payment from the Mentee, administer the payment flow, prepare and send payment documents in the name and on behalf of the Mentor, and process refunds in accordance with these Terms and the Cancellation and Refund Policy. A payment made by the Mentee through the Platform constitutes due and proper payment for the relevant Mentor service.

3.1.2. The Mentor confirms that Mentoring Services are offered through the Platform in the course of the Mentor’s own business or professional activity and that the Mentor is solely responsible for complying with all registration, professional and tax requirements applicable to the Mentor. Where the Mentee is a consumer, mandatory consumer protection rules apply to the contract between the Mentee and the Mentor to the extent applicable to the relevant transaction.

3.2. The content of a particular mentoring Session, including opinions, recommendations and the sharing of experience, is provided independently by the Mentor under the Mentor’s own professional and personal responsibility. Orbis Mentor does not determine the content of the mentoring provided by a Mentor and does not guarantee any particular result, decision, income, career change or other outcome.

3.3. Orbis Mentor may administer payments from Mentees, prepare and send documents evidencing payment for Mentoring Services in the name and on behalf of the Mentor, arrange refunds and make Payouts to the Mentor. For Orbis Mentor’s own services, including Mentor Membership and the Platform Commission, Orbis Mentor issues the relevant documents to the Mentor in its own name. Performance of these functions does not alter the Mentor’s independent status in relation to the Mentor’s business or professional activity, taxes or mentoring content.

3.4. A Mentor is not an employee of Orbis Mentor. No employment relationship, partnership or other relationship is created between Orbis Mentor and a Mentor that would authorise the Mentor to assume obligations on behalf of Orbis Mentor, unless the parties have expressly agreed otherwise in writing.

3.5. The Platform is not an emergency service and is not intended to address crises, self-harm, violence or urgent medical situations. In such circumstances, the person concerned should contact the appropriate emergency services or qualified professional services.

4. Eligibility, Account and Security

4.1. A registered Platform account may be created only by a person who is at least 18 years old and has the legal capacity to assume the obligations arising from these Terms.

4.2. When registering, the User must provide accurate, current and complete information, keep that information up to date and use the account personally. Transferring an account to another person, using another person’s identity or providing misleading information is prohibited.

4.3. Creation of an account requires verification of the email address. For sign-in and security procedures, the Platform may use a password, a one-time code or a secure link sent to the User’s email address.

4.4. The User is responsible for maintaining the confidentiality of their authentication credentials and must immediately notify Orbis Mentor if unauthorised access to the account is suspected.

4.5. A Mentor account may also use Mentee functionality where permitted by the Platform.

5. Mentor Application, Moderation and Profile Activation

5.1. A person wishing to become a Mentor completes a Mentor application and provides the information requested by the Platform concerning experience, country, time zone, languages, mentoring topics, profile description, Offerings and other application information.

5.2. Orbis Mentor may review a Mentor application, request amendments or additional information, approve or reject the application, and moderate profile content in order to ensure Platform quality, safety, legality and compliance with these Terms.

5.3. A Mentor profile becomes public and bookable only after all activation requirements specified by the Platform have been met, including approval of the Mentor application, acceptance of a valid Mentor Agreement, active Membership and completion of Stripe Connect identity verification and payout account onboarding.

5.4. The Mentor represents that the information provided on the Platform concerning their identity, experience, qualifications, profile, Offerings and right to provide the relevant service is accurate and not misleading.

5.5. Where a Mentor offers services on the Platform in the course of their business or professional activity, Orbis Mentor may request and verify information about the trader/service provider required by applicable law, including identity, contact, registration and payment account details, as well as confirmation that the services offered are lawful. If the required information is not provided or cannot be verified, the Platform may refuse to activate or may suspend the Mentor profile.

5.6. As part of Stripe Connect onboarding, the Mentor provides Stripe directly with the identity, bank and other KYC information requested by Stripe and accepts Stripe’s applicable connected account terms. Orbis Mentor receives from the Mentor and retains information necessary for the operation of the Platform, the processing of Payouts and compliance with applicable tax and other mandatory reporting obligations, including DAC7, as well as Stripe account identifiers and statuses, in accordance with the Privacy Policy.

6. Mentor Membership and Subscription

6.1. Active Mentor Membership on the Platform is subject to a Membership Fee of EUR 50.00 for a 365-day period, unless a different current fee is clearly displayed on the Platform at the time of purchase.

6.2. Membership is an automatically renewing subscription. Unless the Mentor cancels it before the next billing date, Stripe will automatically charge the Membership Fee for the next 365-day period to the saved payment method. The Platform may send a renewal reminder in advance.

6.3. The Mentor may cancel automatic renewal before the next billing date by using the functionality available on the Platform or by submitting a request to Platform support. Cancellation does not terminate the period already paid for: Membership remains active until the end of the relevant paid term.

6.4. A Membership Fee that has already been charged is not refundable on a pro rata basis for an unused portion of the Membership period, except where a refund is required by applicable law, the payment was made in error, or Orbis Mentor agrees otherwise in writing.

6.5. If automatic renewal fails and payment is not received after the payment system’s retry attempts, Membership may become inactive and the Mentor profile may be removed from the public catalogue. Existing paid and confirmed Bookings remain valid unless the Platform informs the parties otherwise in the particular circumstances.

7. Mentor Offerings, Prices and Availability

7.1. The Mentor creates Offerings on the Platform and determines their description, price, duration, number of Sessions, Package validity period and availability within the technical limits specified by the Platform.

7.2. The Mentor is responsible for ensuring that each Offering is clear, accurate, lawful and consistent with the Mentor’s actual experience and ability to provide the service.

7.3. The Offering price displayed to the Mentee is the amount payable for the relevant Booking or Package. The Platform Commission is deducted from the amount due to the Mentor and is not added to the price displayed to the Mentee as a separate surcharge unless the Platform expressly states otherwise.

7.4. The Platform currency is EUR. The price displayed to the Mentee before purchase confirmation is the total amount payable by the Mentee and includes all taxes and mandatory charges that applicable law requires to be included in the price of the relevant transaction. The Mentor’s tax obligations in respect of income received are governed by Section 9 of these Terms.

8. Bookings, Payments and Packages

8.1. To book a Session, the Mentee must be registered and have a verified email address. The Mentee selects an available time slot and makes payment through the Platform.

8.2. The selected time slot may be temporarily held while payment is being made. A Booking is confirmed once the Platform has received confirmation from the payment service provider that payment has been successfully completed.

8.3. Payments are processed by Stripe or another payment service provider identified on the Platform. Orbis Mentor does not store full payment card details.

8.4. A Package is paid for in advance and gives the Mentee a specified number of Session credits with a particular Mentor. The Package validity period and other conditions are displayed before purchase.

8.5. If payment is received after the temporary Booking hold has expired and the selected time is no longer available, the Platform will refer the transaction for manual review and arrange an appropriate solution or refund based on the circumstances.

8.6. A document evidencing payment for a Booking or Package is prepared by Orbis Mentor and sent electronically to the Mentee in the name and on behalf of the Mentor, based on information provided by the Mentor and available on the Platform. For Mentor Membership and the Platform Commission, Orbis Mentor issues the Mentor with the relevant invoice or other payment document in its own name. The Mentor is solely responsible for the accuracy of the Mentor’s details and tax status and for complying with all accounting, reporting and tax payment obligations applicable to the Mentor.

9. Platform Commission, Mentor Payouts and Taxes

FINANCIAL MODEL: The Mentee pays the price displayed on the Platform. Orbis Mentor deducts the Platform Commission at the rate set in the Mentor Agreement. The Mentor is entitled to the remainder of the relevant price paid, subject to refunds, disputes, payment reversals and other adjustments provided for in these Terms.

9.1. For each Session or Package paid for through the Platform, Orbis Mentor charges a Platform Commission on the relevant Offering price paid by the Mentee. The commission rate is set in the Mentor Agreement. The commission rate is fixed at the time the transaction is paid, unless the Platform clearly states otherwise.

9.2. The Platform Commission constitutes consideration for providing the digital infrastructure, customer acquisition and catalogue, booking, payment, video Session, notification, review, support and administrative functions.

9.3. The Mentor’s share becomes eligible for Payout after completion of the Session and expiry of the Platform’s applicable security and dispute-resolution hold period. The standard hold period is 72 hours. Orbis Mentor initiates regular Payouts twice per month: no later than the 5th day of the month for Sessions conducted from the 16th through the last day of the preceding month, and no later than the 20th day of the month for Sessions conducted from the 1st through the 15th day of the current month, provided that the applicable hold period has expired and there are no grounds to suspend the Payout. If the relevant date is not a banking business day, the Payout may be initiated on the next banking business day. Payouts are made through Stripe Connect or another payment solution designated by the Platform. The terms of any Early Payout functionality, if available, are governed by the Mentor Agreement.

9.4. Orbis Mentor may hold or adjust a Payout while a refund request, payment dispute, chargeback, suspected breach of these Terms, sanctions risk or other legal risk is being reviewed, or while the Mentor account is suspended or blocked. Any final withholding shall be made only where there is a contractual or legal basis for doing so.

9.5. The Mentor acts as an independent service provider and is solely responsible for registering their business or professional activity, determining tax residence, maintaining accounting records, filing tax returns, paying personal or corporate income tax, social security contributions, VAT and any other taxes or charges applicable to the Mentor under the laws of the Mentor’s country of residence, tax residence or activity.

9.6. Orbis Mentor does not calculate, withhold or pay the Mentor’s taxes on the Mentor’s behalf and is not the Mentor’s tax adviser or withholding agent, except where applicable law expressly imposes such an obligation on Orbis Mentor.

9.7. If Orbis Mentor, as a digital platform operator, is required under DAC7 or other applicable tax information-exchange rules to collect, verify and report information concerning Mentors and income earned by them through the Platform, the Mentor shall timely provide all accurate information requested, including tax identification and tax residence information. Such reporting does not, in itself, mean that Orbis Mentor calculates or pays the Mentor’s taxes.

9.8. The Mentor is responsible for determining whether the service offered requires registration, a licence, professional qualification or other authorisation and for complying with any such requirements.

10. Video Sessions and Technical Conditions

10.1. The Platform provides the technical environment for video Sessions. Access to a particular Session is available only to the Mentee and Mentor associated with the relevant Booking and only within the access window specified by the Platform.

10.2. Each User is responsible for providing a suitable device, internet connection, camera, microphone and browser permissions. Orbis Mentor is not responsible for failures of the User’s device, internet connection or third-party networks.

10.3. By default, the Platform does not record video or audio Sessions. A User may not record or publish a Session without the other participant’s prior consent and an appropriate legal basis.

10.4. For technical and dispute-resolution purposes, the Platform may record technical facts relating to a Session, such as whether and when a participant joined the room, but not the content of the Session conversation, unless the Platform separately informs Users otherwise and an appropriate legal basis has been established.

11.3. Nothing in these Terms limits the Mentee’s mandatory rights as a consumer. Where a 14-day right of withdrawal applies to a particular distance contract, it may be exercised in accordance with the Latvian Consumer Rights Protection Law and the rules governing distance contracts.

11.4. When booking a Session scheduled to be performed during the statutory withdrawal period, the Mentee expressly requests that performance of the service begin before the withdrawal period expires. If the service has been fully performed with the consumer’s prior consent and the acknowledgement required by applicable law, the right of withdrawal may cease to apply. This clause applies only to the extent permitted by mandatory consumer protection law.

12. Reviews, Ratings and User Content

12.1. A review may be submitted only by a Mentee who paid for and attended the relevant Session, as verified using Platform data. One rating and one review may be submitted for each completed Session. Orbis Mentor does not provide Users with consideration for positive reviews, does not publish reviews on behalf of Users, and takes reasonable measures to ensure that published reviews originate from Users who actually participated in the relevant Session.

12.2. A review must be submitted in good faith, be based on actual experience and must not contain defamatory, discriminatory, unlawful or threatening content or content that infringes the rights of third parties.

12.3. The Platform may publish a review using an abbreviated form of the reviewer’s name and may moderate, hide, reject or remove a review where there are reasonable grounds to suspect a breach of these Terms, applicable law or Platform safety and quality requirements.

By submitting Content to the Platform, the User retains their rights in that Content but grants Orbis Mentor a non-exclusive, royalty-free, worldwide licence to use, reproduce, technically adapt, store, display and make the Content available to the extent necessary for the operation, moderation and security of the Platform and for displaying the relevant public Content. The Platform may feature published reviews within the Platform while preserving their substantive meaning.

14.4. A User may challenge a Platform decision by submitting a reasoned support request. Orbis Mentor will reassess the available information and may uphold, amend or reverse the decision.

15. Support, Complaints and Dispute Review within the Platform

15.1. Registered Users may contact Orbis Mentor using the Platform support request form. General enquiries may be sent to info@orbismentor.com.

17.2. Orbis Mentor grants the User a limited, revocable, non-exclusive and non-transferable right to use the Platform for personal purposes or, in the case of a Mentor, for the Mentor’s professional activity, in accordance with these Terms.

17.3. The User must not copy, sell, license, modify or commercially exploit the Platform software or protected materials except where permitted by applicable law or with the written consent of Orbis Mentor.

18. Platform Availability and Changes

18.1. Orbis Mentor seeks to ensure continuous and secure operation of the Platform but does not guarantee uninterrupted availability. Operation of the Platform may be affected by scheduled maintenance, security updates, third-party services, internet infrastructure or force majeure events.

18.2. Orbis Mentor may change, supplement or discontinue individual Platform functions where necessary for reasons relating to security, technology, applicable law, business operations or user experience, while respecting rights already acquired by Users and mandatory consumer protection rules.

20. Account Termination and Consequences

20.1. A User may stop using the Platform and submit a request to delete their account. Closing an account does not, by itself, cancel already paid Sessions, Packages, refunds, Mentor Payouts or other outstanding obligations.

20.2. Before final account closure, Orbis Mentor may complete settlements, refunds, dispute reviews, Mentor Payouts and other necessary processes. Following account closure, personal data will be processed in accordance with the Privacy Policy and applicable statutory retention obligations.

20.3. Orbis Mentor may terminate or restrict an account if the User materially or repeatedly breaches these Terms, creates a security or legal risk, commits fraud, circumvents the Platform, or if continued operation of the account is not permitted under applicable law.

20.4. Termination of Mentor Membership does not affect Orbis Mentor’s right to Platform Commission already earned and does not release the Mentor from obligations relating to Sessions already booked, unless Orbis Mentor determines otherwise in the specific circumstances.

21. Amendments and Versions of the Terms

21.1. Orbis Mentor may amend these Terms where necessary as a result of changes in applicable law, Platform functionality, security, the payment model or business operations.

21.2. If changes are material and affect a User’s rights or obligations, Orbis Mentor will give advance notice through the Platform or by email and, where necessary, request renewed acceptance of the updated Terms. In relation to Mentors, notice of material changes will be given at least 15 days before the changes take effect, unless applicable law permits a shorter period, in particular where an immediate change is required to comply with a legal obligation or to address an unforeseen and imminent risk relating to fraud, cybersecurity, data protection or User safety.

21.3. Each version of the Terms states its effective date. Where the Terms are available in several languages, the Latvian version is the governing version and shall prevail in the event of any discrepancy in interpretation, unless mandatory law provides otherwise.

22. Governing Law and Dispute Resolution

22.1. These Terms and the Platform services provided by Orbis Mentor are governed by the laws of the Republic of Latvia and directly applicable laws of the European Union.

22.2. If the User is a consumer in another Member State of the European Union or the European Economic Area, this choice of law does not deprive the User of any mandatory consumer protection rights afforded by provisions of law from which the parties may not derogate by agreement.

22.3. Before referring a matter to an external authority, the User is encouraged to submit a complaint to Orbis Mentor through Platform support or by email to info@orbismentor.com so that the Parties can attempt to resolve the matter amicably.

22.4. A consumer has the right to contact the Consumer Rights Protection Centre of Latvia (Patērētāju tiesību aizsardzības centrs, PTAC) and, where applicable, the Consumer Dispute Resolution Commission or another competent out-of-court dispute resolution body, as well as the courts in accordance with the applicable rules of jurisdiction.

22.5. Disputes with a Mentor relating to the Mentor’s independent business or professional activity, taxes, professional obligations or the Mentor Agreement shall be resolved in accordance with the Mentor Agreement and applicable law.

23. Final Provisions

23.1. If any provision of these Terms is held to be invalid or unenforceable, this does not affect the validity or enforceability of the remaining provisions.
